When does it ask for the passwords?  Can you not boot from a 98 start up disc, FDISK the drive, then boot from the W98 CD to format and install?

As Simon says, use a 98 boot disk and format the drive then reinstall 98 as usual.
You have to format it before you can install 98 unlike XP which will do it from the CD itself.
If its the BIOS thats password protected then use the clear CMOS jumper to reset it  :)
